Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the GeoNeo Property Intelligence Platform, including FlyBy, ReplaceWise, CapitalScope, and any related websites, apps, data tools, reports, and services GeoNeo makes available (collectively, the “Platform”), offered by GeoNeo, LLC, a Nevada corporation (“GeoNeo,” “we,” “us,” or “our”). Each of us is a “Party;” together we are the “Parties.”

1. Acceptance of Terms

By creating an account, accessing, or using the Platform in any way, you confirm that you have read and understood these Terms and agree to be bound by them, along with our Privacy Policy, which is part of these Terms. If you do not agree, please do not use the Platform.

2. Who Can Use the Platform

The Platform is built for real estate and property professionals who need property imagery, data, planning tools, or reports as part of their day-to-day work. That includes property managers, property owners, real estate agents and brokers, inspectors, contractors, roofers, attorneys, insurance professionals, HOA representatives, investors, lenders, asset managers, and others with a legitimate professional reason to evaluate, document, finance, insure, lease, sell, maintain, or manage real property (“Properties”).

What “Content” means. Content includes all of the imagery, reports, data, scores, maps, overlays, calculations, and other material the Platform makes available to you. Some of what you see on screen — such as property boundary lines, building footprints, weather layers, and labels — may be layered on top of imagery for context. Those visual elements are part of the Platform’s output and are not provided as separate raw data files.

What “Provider Content” means. Some imagery and data in the Platform comes from third-party providers, including EagleView, that have licensed it to GeoNeo. Your right to use that material is limited to what GeoNeo is authorized to pass through under those supplier agreements. We call this “Provider Content” throughout these Terms.

By using the Platform, you confirm that:

1. you have the authority to agree to these Terms on behalf of yourself or your organization
2. you will only use the Platform for the permitted purposes described in Section 3
3. you are not using the Platform on behalf of a company that competes with EagleView in the aerial imagery or mapping business, unless that access has been expressly authorized in writing as required under GeoNeo’s applicable supplier agreement
4. you will follow all supplier-related restrictions described in these Terms or communicated through the Platform

We reserve the right to modify or discontinue any part of the Platform at any time without prior notice.

3. What You Can Use the Platform For

The Platform is licensed for professional property work. Specifically, you may use it to:

1. search for, view, and generate reports and imagery related to Properties in connection with legitimate professional activities — such as property management, inspections, underwriting, leasing, sales, insurance, financing, maintenance planning, capital planning, and similar business functions
2. evaluate, analyze, document, and communicate about the visible condition, characteristics, maintenance needs, replacement timing, capital needs, or other relevant features of Properties using the data, imagery, and tools the Platform provides
3. download and share the reports, photos, and other files the Platform makes available for export — for example, to include in a client report, owner communication, property listing, maintenance proposal, legal file, or insurance workflow involving a specific Property

Any use that is not described here is not permitted. GeoNeo reserves all rights not expressly granted.

4. Your License to Use the Platform

4.1   What We’re Granting You

Subject to these Terms, GeoNeo grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform and its Content solely for the permitted purposes in Section 3.

4.2   What You’re Allowed to Do with Platform Output

You may view, search, analyze, and generate reports within the Platform. You may also download and share the reports, photos, maps, and other files the Platform intentionally makes available for that purpose — as long as you’re using them for one of the permitted purposes in Section 3.

4.3   Limits That Apply to Provider Content

Because some of the imagery and data in the Platform comes from third-party suppliers, additional restrictions apply to that material:

1. your rights go no further than what GeoNeo is authorized to grant under its supplier agreements
2. Provider Content may only be used for your own internal professional work involving the Properties you’re managing or advising on — not for general commercial redistribution
3. you may keep and use reports, photos, and other files you lawfully downloaded while your account was active, subject to the ongoing restrictions in these Terms
4. you may not use Provider Content for properties, regions, or purposes outside what your account and GeoNeo’s supplier agreements permit
5. GeoNeo may limit or suspend access to Provider Content if required by a supplier agreement or to protect the Platform

4.4   What You May Not Do

You may not attempt to extract, reconstruct, or obtain the raw underlying imagery files, embedded location data, source datasets, software code, or any other technical materials that power the Platform — only the finished reports, photos, and files the Platform intentionally makes available to you.

More specifically, you agree not to:

1. bypass or defeat any access controls or security measures GeoNeo has put in place
2. use the Platform or its content for any illegal or unauthorized purpose
3. use the Platform to harass, harm, or abuse any person or organization
4. disrupt or interfere with the Platform, its servers, or its underlying systems
5. alter, modify, repackage, or tamper with any content or material from the Platform, other than through the export, reporting, and sharing features GeoNeo has built in
6. remove, cover, or alter any copyright notice, watermark, logo, or attribution that appears on Platform content
7. share, distribute, or reproduce any Platform content with someone who is not an authorized user under these Terms, other than through the sharing features GeoNeo provides
8. sell, sublicense, assign, or transfer any Platform content or your rights under these Terms to another person or organization
9. share your login credentials, API keys, or account access with anyone else
10. reverse engineer, decompile, or attempt to extract the source code or underlying technology of the Platform
11. use bots, scrapers, crawlers, spiders, or any automated tool to collect data or content from the Platform
12. inject code or scripts into the Platform to alter how it works
13. use the Platform for any commercial purpose that falls outside the permitted uses in Section 3
14. interfere with any feature that limits or controls how Platform content can be copied or used
15. continue using the Platform after your account has been terminated
16. use any content, reports, photos, scores, or other output from the Platform to train, test, or improve any artificial intelligence or machine learning system
17. use any Provider Content or anything derived from it to build a competing imagery, mapping, or aerial data product or service
18. use the Platform in any way these Terms do not expressly permit

5. Your Account

5.1   Creating an Account

Some features require you to register for an account. You agree to provide accurate, complete information and to keep it up to date.

5.2   Keeping Your Account Secure

You are responsible for everything that happens under your account. Keep your login credentials and any API credentials private. Use reasonable security measures to protect the devices and systems you use to access the Platform. If you suspect your account has been accessed without your permission, notify GeoNeo promptly.

5.3   Account Suspension or Termination

We reserve the right to suspend or terminate your account at any time, including for violation of these Terms, violation of any Platform policy, or to comply with a requirement from one of our content suppliers.

6. API Access

6.1   Availability

GeoNeo may offer API access for certain Platform modules or features. API access is only available if GeoNeo has enabled it for your account or subscription tier.

6.2   API License

Subject to these Terms, GeoNeo grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the GeoNeo API solely for the purposes, modules, and workflows GeoNeo specifies.

6.3   API Credentials

To use the API you must obtain API credentials from GeoNeo. Do not share them with any third party unless GeoNeo has expressly authorized that in writing. You are responsible for all activity that occurs through your API credentials, unless it was caused solely by GeoNeo’s own error.

6.4   API Restrictions

You may not:

1. use the API for any purpose GeoNeo has not expressly authorized
2. exceed any rate limits, quotas, or usage limits GeoNeo sets
3. use the API to scrape, bulk-extract, or reconstruct raw imagery, source data, or other materials GeoNeo has not intentionally made available
4. use automated tools to abuse, overload, or probe the API
5. use the API in a way that disrupts other users or creates compliance problems with GeoNeo’s suppliers

6.5   Monitoring and Suspension

GeoNeo may monitor API usage for security, billing, and compliance purposes. We may throttle, suspend, or revoke API credentials for abuse, nonpayment, excessive usage, or legal or supplier compliance reasons.

7. Intellectual Property, Attribution, and Confidentiality

7.1   Who Owns What

All content, software, imagery, logos, and other materials on the Platform belong to GeoNeo, its suppliers, or its content providers. Using the Platform does not give you any ownership interest in any of that material.

Provider Content — including EagleView imagery — remains owned by the applicable provider. GeoNeo owns its own software, workflows, reports, analytics, scores, and other tools it has independently created, but makes no claim of ownership over the underlying provider imagery itself.

7.2   Attribution and Watermarks

The Platform may display content from third-party providers including EagleView, Microsoft, Mapbox, and OpenStreetMap. Reports and imagery you export may carry copyright notices, watermarks, or attribution text from GeoNeo or those providers. You agree not to remove, crop out, cover, or alter any of those notices or markings.

7.3   Using and Sharing Downloaded Material

Any imagery, reports, photos, or other files you download or export from the Platform (“Exported Content”) must keep all copyright notices, watermarks, and attribution text intact. If you share Exported Content with a client, attorney, insurer, investor, or anyone else, those notices must remain clearly visible and unmodified.

Removing or altering required attribution is a material breach of these Terms. GeoNeo may suspend your access, revoke your right to use downloaded material, or pursue any other available remedy.

7.4   Confidentiality

Certain information you access through the Platform is confidential, including non-public content, Provider Content, system documentation, account credentials, and any pricing or account terms not publicly available. You agree to:

1. keep that information strictly confidential
2. use it only to exercise your rights under these Terms
3. share it only with employees, contractors, attorneys, insurers, or advisors who genuinely need it and are bound by equivalent confidentiality obligations
4. notify GeoNeo promptly if you become aware of any unauthorized use or disclosure
5. cooperate with GeoNeo to address any unauthorized use or disclosure

This obligation does not apply to information that is or becomes publicly available through no breach of these Terms, that you already lawfully knew without restriction, that you lawfully receive from a third party without confidentiality obligations, or that you independently developed without using any confidential information.

7.5   Supplier Compliance Disclosures

GeoNeo may share account, access, and usage records related to Provider Content with suppliers, auditors, or service providers when reasonably necessary to verify compliance, billing, security, or supplier-agreement obligations — subject to appropriate confidentiality protections.

8. Fees and Payments

8.1   Subscriptions

Access to certain features requires a paid monthly subscription. Free trials, demos, and pilot accounts are subject to their own terms and end automatically as presented in the Platform. Once a free or promotional period ends, continued access requires a paid subscription.

8.2   Payment on File

Paid access requires at least one valid payment method on file. GeoNeo uses Stripe and other third-party payment processors; your card details are stored by the processor, not by GeoNeo. By subscribing, you authorize GeoNeo and its payment processor to charge your payment method for subscription fees, renewals, usage charges, upgrades, and any other amounts you owe.

8.3   Usage-Based Charges

Some features — such as unlocking premium aerial imagery, API calls, and add-ons — are billed based on actual use during a billing period and charged after that period ends.

8.4   Renewals, Changes, and Cancellation

Monthly subscriptions renew automatically each month unless you cancel. Pricing may change at renewal; any changes apply starting with your next billing cycle. You can cancel through your account settings or by contacting support. Cancellation takes effect at the end of the current monthly term; you still owe any amounts accrued during that term.

8.5   Failed Payments

If a payment fails, we may retry the charge, request an updated payment method, suspend access until the balance is resolved, or pursue other lawful collection options.

8.6   Taxes

Fees do not include taxes. You are responsible for all applicable taxes, except for taxes on GeoNeo’s own income.

9. Product-Specific Terms

9.1   FlyBy

FlyBy provides aerial, satellite, and street-level imagery and related property review tools. The following additional terms apply:

1. much of the imagery in FlyBy is Provider Content subject to the supplier restrictions in these Terms
2. FlyBy allows you to generate and download reports, property photos, and other files for use in your professional workflows
3. you may not attempt to extract or download the raw underlying image files, embedded location data, or other source materials that are not part of the reports and files GeoNeo intentionally makes available
4. GeoNeo may provide change comparisons, overlays, and other analysis tools within FlyBy as part of the permitted service — but you may not use the underlying imagery to build your own competing aerial or mapping product
5. your use of FlyBy is limited to property-intelligence work in North America, as required by GeoNeo’s applicable supplier agreements

FlyBy imagery sourced from EagleView may not be used to train, test, or improve any artificial intelligence or machine learning system, including for feature extraction or any similar purpose.

9.2   ReplaceWise

ReplaceWise is a planning tool to help you track component ages, estimate replacement timing, and prioritize maintenance across your properties. Its outputs — including cost estimates, timelines, and recommendations — are informational only. They are not engineering opinions, contractor quotes, warranties, or guarantees of any kind. Always obtain independent professional advice before making major repair or replacement decisions.

9.3   CapitalScope

CapitalScope is a capital planning tool to help you evaluate properties, compare options, and understand capital needs. Its outputs — including scores, models, and recommendations — are informational only. They are not tax advice, legal advice, accounting advice, investment advice, or lending advice, and they do not represent any guarantee of tax treatment, valuation, financial return, or outcome. Always consult qualified tax, legal, accounting, or financial professionals before making decisions based on CapitalScope outputs.

10. Privacy

Your use of the Platform is governed by our Privacy Policy. By using the Platform, you consent to the collection, use, and disclosure of your information as described there.

11. Third-Party Services and Links

The Platform may link to or integrate with third-party websites or services. GeoNeo has no control over and takes no responsibility for their content, privacy practices, or terms. We encourage you to review those terms before using any third-party service.

12. Disclaimers and Warranties

12.1   Accuracy of Content

Platform content may not reflect current property conditions, current market conditions, or the most recent state of a property. GeoNeo makes no representations or warranties about the accuracy, completeness, or timeliness of any content.

12.2   Informational Purpose Only

The Platform is a professional tool to support your work — not a substitute for it. It is not intended to replace physical property inspections, legal review, underwriting judgment, engineering assessments, tax analysis, investment judgment, or other professional evaluations. Use it to inform your decisions, not to replace them.

12.3   Our Limited Warranties

GeoNeo represents and warrants that:

1. it has the right and authority to grant you the license described in these Terms
2. the Platform, excluding third-party materials and claims arising from your misuse, does not infringe any third-party intellectual property rights to GeoNeo’s knowledge

13. Limitation of Liability

14. Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless GeoNeo, its affiliates, suppliers, content providers, and their respective officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:

1. your use or misuse of the Platform
2. your breach of these Terms
3. your violation of any applicable law or regulation
4. any knowing and intentional unauthorized disclosure, redistribution, competitive misuse, or AI/ML misuse of Platform content, or your disclosure of EagleView imagery to any person or organization whose access would violate GeoNeo’s supplier agreements

15. Termination

These Terms begin when you first subscribe to or use the Platform and remain in effect for as long as you maintain an active paid subscription, renewing automatically each month unless you cancel as described in Section 8. Either Party may terminate these Terms if the other materially breaches them and fails to cure that breach within thirty (30) days of written notice.

Termination does not relieve you of any amounts owed. When these Terms end, for any reason:

1. your license to use the Platform ends immediately, and you and any users on your account must stop using it
2. you may keep and continue to use reports, property photos, and other files you lawfully downloaded while your account was active — but only if they were obtained during an active, paid billing period, and subject to the ongoing attribution, confidentiality, and use restrictions in these Terms
3. your access to any non-public Provider Content, your login credentials, and the Platform itself terminates immediately unless GeoNeo expressly agrees otherwise in writing
4. GeoNeo may remove or disable access to content or features if required to comply with supplier obligations or legal requirements

16. General

16.1   Entire Agreement; Amendments; Waiver

These Terms represent the complete agreement between the Parties on this subject and supersede any prior oral or written agreements. Changes to these Terms require a written agreement signed by both Parties. A failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.

16.2   No Partnership

These Terms do not create a partnership, agency, or joint venture. Each Party is an independent contractor.

16.3   Force Majeure

Neither Party is liable for delays or failures caused by events outside its reasonable control — including natural disasters, pandemics, utility outages, government orders, labor disputes, acts of war, or supplier access failures — provided the affected Party takes reasonable steps to resume performance as soon as possible.

16.4   Injunctive Relief

A material breach of these Terms may cause harm that money cannot adequately remedy. Either Party may seek injunctive relief or specific performance in addition to any other available remedies, and the breaching Party waives any argument that a monetary remedy would be sufficient.

16.5   Cumulative Remedies

All rights and remedies under these Terms are cumulative. Exercising one right does not prevent a Party from exercising any other right available at law, in equity, or under these Terms.

16.6   Governing Law; Venue

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Any legal action arising from these Terms must be brought in the state or federal courts located in Nevada. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

16.7   Assignment

You may not assign or transfer these Terms or any rights under them without GeoNeo’s prior written consent. Any attempted assignment without consent is void. These Terms bind and benefit the Parties and their permitted successors and assigns.

16.8   Publicity

GeoNeo may identify you as a customer and display your name and logo on its website and in marketing materials, unless you notify GeoNeo in writing that you prefer not to be listed.

17. Covenants

1. Both Parties agree to comply with all applicable laws and regulations in performing their obligations under these Terms.
2. Each Party represents that it has the full authority to enter into and perform under these Terms.

18. Changes to These Terms

We may update these Terms at any time by posting the revised version on our website and updating the “Last Updated” date at the top of this page. Continuing to use the Platform after an update means you accept the revised Terms. If you disagree with a change, you must stop using the Platform.

19. Referral Rewards – Non-Cash Incentive Program

GeoNeo may offer Platform credits, imagery access, or similar benefits as a thank-you for referring new customers. Unless the specific promotion states otherwise, referral rewards are:

1. non-cash promotional credits with no monetary value
2. for your own use only — they cannot be transferred or sold
3. not redeemable for cash
4. subject to GeoNeo’s right to modify, suspend, or end the program at any time
